GENERAL TERMS OF SALE
The present general terms of sale define the rights and duties of the parties within the framework of the sales of products made on the www.alafaq-distribution.com web site
Article 01 – Legal terms
The ALAFAQ-DISTRIBUTION SARL company, with a 22.849-€ capital whose head office is situated 5 Rue des Longs Prés, 92100 Boulogne-Billancourt - France, registered in the RCS of Nanterre under the number 530 634 757 and the Intra community VAT number FR35530634757, intervenes in its owner's quality of the stock of products presented on its site.
The ALAFAQ-DISTRIBUTION company has the possibility of modifying or of adapting at any time the present general terms of sale. In case of modification, the current general terms of sale in the day of the signing of the order will be applied to every order. The last date of update of general terms of sale is indicated to the end of the present.
Article 02 - Definitions
The "buyer" or "the customer" is the natural person or the legal entity who acquires one or several products presented on the e-commerce www.alafaq-distribution.com web site, at the prices corresponding to the chosen products indicated on the web site.
The “order" is the purchase order from the buyer on one or several products presented on the web site.
Article 03 - Object and scope
The present general terms of sale govern the remote sale, in the respect for the legislation applicable to remote sales, of products presented on the www.alafaq-distribution.com web site
Any order of products implies involves the unconditional acceptance by the buyer and its full and whole agreement with the present general terms of sale which prevail over any other document of the buyer, in particular over any general conditions of purchase, except preliminary exceptional agreement in writing, by ALAFAQ-DISTRIBUTION.
Accordingly), the signing of an order by the buyer implies his acceptance without reserve of the present general terms of sale.
Any other document than the present general terms of sale in particular brochures, leaflets, advertisements, notes, e-mailings has only an informative and indicative, not contractual value.
Article 04-Prices
The prices are indicated in euros inclusive of all taxes. They take into account the applicable VAT in France in the day of the order.
The price of products is the one is applicable the day of the order. Once the order placed, the prices can be the object of no modification.
The prices are established " ex warehouse of ALAFAQ-DISTRIBUTION ", excluding charges of delivery and transport, which stay chargeable to the buyer. These expenses will however be indicated to the buyer at the time of his order.
Article 05- Orders
The order will be registered on the website only if the buyer clearly identifies himself.
As from the last click of acceptance (" double click "), the order is considered definitive and irrevocable. As from the recording of the order by ALAFAQ-DISTRIBUTION, an email of confirmation is sent to the buyer indicating a summary of the ordered products and the agreed delivery address
ALAFAQ-DISTRIBUTION company undertakes to fulfill the orders received on its web site only if the products are available from its stock. In the case of lack of availability of products, ALAFAQ-DISTRIBUTION company will inform the buyer as soon as possible. The order of the buyer will automatically be cancelled and no flow will be made on its bank account.
Article 06 – Livraison et transfert des risques
Livraison en France
Les frais de port comprennent une participation aux frais de préparation et d’emballage ainsi que les coûts d’affranchissement. Pour les Écoles et Associations, les frais de port, calculés en fonction du poids total de la commande et du mode de transport choisi, apparaîtront automatiquement lors de la passation de la commande.
Les commandes sont traitées sous 48 heures et acheminées par nos soins.
Article 06 - Delivery and transfer of the risks
Delivery in France
Postal charges include a contribution to costs of preparation and packaging as well as the costs of postage. For Schools and Associations, postal charges, calculated according to the total weight of the order and the chosen mode of transport, will appear automatically during the signing of the order.
The orders are handled under 48 hours and forwarded by our services.
Delivery outside France
The orders are processed under 72 hours and forwarded by the selected carrier.
Products are delivered to the delivery address indicated by the buyer on his order. In case of split deliveries, only the products shipped will be charged. The transfer of the risks will be made at the time of the release of the products of the warehouses of ALAFAQ-DISTRIBUTION, the carrier taking care of the transport of products
Article 07 – Payment
The orders are paid at the time of their signing. The payment is made exclusively on-line, at the time of the order, by bank or privative card, or PAYPAL. Only CREDIT CARD, VISA, and MASTER'S DEGREE CARD are accepted. For the credit card payment, the buyer has to indicate the number of his card, the expiry date, and the 3 figures appearing in the back of the card. (Secured seized by SSL encryption)
ALAFAQ-DISTRIBUTION guarantees a secure on-line payment, on a server directly on the site of ALAFAQ-DISTRIBUTION banking institution, Credit du Nord or on PAYPAL. At no time the banking data of the buyer pass in transit in the ALAFAQ-DISTRIBUTION
computer system.
For the professional buyers having obtained a preliminary agreement, the orders with payment in three steps are authorized in France, by checks in the order of ALAFAQ-DISTRIBUTION and sent to the head office of the Company (see Article 01)
Article 08 - Intellectual property
The content of this web site is protected by the French and international legislations relative to the intellectual property. The brands, the logos, the distinguishing features, the texts, the comments, the works, the illustrations and the images, visual or sound, reproduced on the www.alafaq-distribution.com site are protected in conformance with the copyright, law of the brands, law of patents law for the image. As such, any form of use, reproduction in total or partial representation of the www.alafaq-distribution.com web site, in a not restrictive way, the immaterial elements being on the site is strictly forbidden, except prior written agreement of ALAFAQ-DISTRIBUTION.
Article 09-personal Data
According to the data protection act of January 6th, 1978, modified, the personal data relative to the buyer can be the object of an automated processing by ALAFAQ-DISTRIBUTION. Every buyer has a right of access, rectification and withdrawal of the personal data concerning him with ALAFAQ-DISTRIBUTION.
To exercise this right, it is enough to notify it by registered letter with request of acknowledgement of receipt sent to ALAFAQ-DISTRIBUTION - 5 Rue des Longs Prés, 92100 Boulogne-Billancourt, France, for the attention of the Sales department.
Article 10-Force majeure
All the commitments of ALAFAQ-DISTRIBUTION will be suspended in every case where the non-fulfillment of an obligation would have cause a case of “force majeure” (absolute necessity).
The events escaping reasonably the control of ALAFAQ-DISTRIBUTION, among whom will count in particular the strike affecting the postal services or those of the other carriers retained by ALAFAQ-DISTRIBUTION will constitute cases of “force majeure” (absolute necessity) which can be in particular the cause of a not delivery, a late or defective delivery.
Article 11 - Guarantee - Responsibility
The buyer will examine products of their reception date and undertakes to notify in writing to ALAFAQ-DISTRIBUTION in the same date of reception any possible defect of conformity of products. The responsibility of ALAFAQ-DISTRIBUTION can be engaged for a damage which it is, caused or by a third, or by abnormal conditions of use of the buyer, a defective maintenance, unspecified application originally or against precautions for use notified to the buyer or to the unsuitable storage of products.
In this context, the buyer benefits from a right of return: whatever is the reason, the buyer can send back to us an article in the fifteen days following the reception of his parcel (in its original packing necessarily and with the corresponding invoice), by specifying the motive for return to the head office of ALAFAQ-DISTRIBUTION.
Article 12-applicable right – Setting of conflicts
The present contract is subjected to the French law. In case of various possible disagreement on the interpretation and/or the execution of the present, and after the failure of a mediation committed between the buyer and ALAFAQ-DISTRIBUTION during forty five ( 45 ) working days as from the official registration of the dispute, the parties agree to the territorial competence of the Commercial Court of Nanterre, France.
